Terms of Service

1. Applicable Terms

These Terms of Service are entered into by and between You and L1T Labs Inc., the corporation operating the Solana.Stream platform ("Company," "we," "our," or "us"). The following terms, (collectively "Terms of Service"), govern your access to and use of the Solana.Stream platform, including any products, services, and features offered to you as part of the platform (the "Service"), whether as a guest or a registered user.

Please read the Terms of Service carefully before you start to use the Service. By using the Service, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms of Service, you must not access or use the Service.

By accessing and using this Service, you accept and agree to be bound and comply with these Terms of Service; you represent and warrant that you are the legal age of majority under applicable law to form a binding contract with us; and, you agree if you access the Service from a jurisdiction where it is not permitted, you do so at your own risk.

2. Eligibility

Age Requirement

You must be at least the legal age of majority (18 years old) to access or use the Service. By using the Service, you confirm that you meet this requirement and have the authority to agree to these Terms. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms, and the entity is responsible for any violations.

Children's Privacy

In compliance with the Children's Online Privacy Protection Act (COPPA), we do not knowingly collect personal information from children under 18. If you are under 18, do not register or provide any personal information. If we discover such data has been collected, we will promptly delete it. If you believe a child under 18 has provided us personal information, please contact us.

Sanctions and Restrictions

You confirm that you are not subject to any government-imposed trade or economic sanctions, nor are you listed as a restricted party (e.g., by the U.S. Office of Foreign Assets Control). Additionally, you may not access or use the Service if you are located in a region under comprehensive U.S. economic sanctions. You will find the list of countries ineligible for streaming below:

3. Your Responsibilities

Account Information

You are required to comply with this Agreement when accessing the Service. User registration is necessary to access certain content or areas of the Service. As a condition of use, you must ensure that all information you provide is accurate, current, and complete.

Account Security

Your credentials and any other security-related information must remain confidential and must not be shared with any person or entity. You must promptly notify us of any unauthorized access, use of your credentials, or security breaches. You are solely responsible for any misuse of your password or unauthorized account access. To enhance security, we recommend regularly monitoring your account activity and implementing appropriate protective measures.

Personal Responsibility

You are responsible for your use of the Service and the security of your account. This includes understanding that you are responsible for any activity that occurs under your account, and taking reasonable steps to keep your account secure.

4. Permissions and Restrictions

You may access and use the Service as provided, as long as you comply with this Agreement and applicable laws. The Service is available solely for personal, non-commercial purposes. However, your use of the Service is subject to the following restrictions. You are not allowed to:

Access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify, or otherwise use any content from the Service without express authorization from Solana.Stream or the respective rights holders.
•
Send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms of Service.
•
Use the Service to distribute any advertising material, including any spam, mass solicitations or unwanted promotional/commercial content.
•
Sell or promote advertisements, sponsorships, or promotions within or around the Service outside of approved advertising campaigns by the Company.
•
Collect, scrape, or harvest personal information of any user, including but not limited to usernames, email addresses, and data (such as audio and video recordings), without explicit consent from the individual or as permitted by law.
•
Abuse, exploit, or misuse the platform’s reporting, flagging, complaint, dispute, or appeals processes by submitting false, frivolous, or malicious claims.
•
Artificially manipulate engagement metrics such as views, likes, shares, or followers by using bots, click farms, incentivized interactions, or other deceptive practices.
•
Use automated means (e.g., robots, botnets, scrapers) to access the Service, except as permitted for public search engines or with prior written permission.
•
Impersonate or attempt to impersonate the Company, a Company employee, or another user by using usernames or email addresses associated with any of the foregoing.
•
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or may harm the Company or users of the Service, or expose them to liability.
•
Circumvent, disable, fraudulently engage with, or otherwise interfere with any security-related features of the Service, including features that prevent unauthorized copying, limit access to content, or restrict usage of the Service.

5. Intellectual Property Rights

The Service and its entire contents, features, and functionality—including but not limited to software, text, displays, user interface, design, selection, arrangement, chat system, crypto donation system, and any other proprietary elements—are owned by the Company, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

However, the Service may embed live streams, videos, or other content from third-party platforms. The Company does not claim ownership of any such embedded content. All intellectual property rights in the embedded streams remain with their respective owners, and their use on the Service is subject to the terms and policies of the original hosting platforms.

You are granted a limited, non-exclusive, non-transferable, and fully revocable license to access and use the Service solely for personal, non-commercial purposes. This license does not grant you any ownership rights or control over any content accessed through the Service.

You must not:

Copy, download, modify, distribute, display, or create derivative works of any embedded streams or third-party content unless permitted by the original rights holder.
•
Attempt to bypass, remove, disable, alter, or interfere with any content restrictions, access controls or protection measures imposed by the embedded platforms.
•
Use the Service for any commercial purpose unless permitted by the Company.

Violation of these terms may result in the immediate termination of your access to the Service. The Company reserves all rights not expressly granted in these Terms of Service.

6. Content and Content Standards

Content

Our Service may allow users to embed streams and related Content from third-party platforms. You acknowledge that the third-party platforms or its licensors retain all intellectual property rights to such streams, and that you have no authority to grant us any license for those streams beyond displaying them “as is” within our Service.

You own or have all necessary rights to the Content you embed;
•
Your Content complies with the relevant third-party platform’s Terms of Service;
•
Your Content complies with our Content Standards and does not violate others’ rights.

Although we facilitate embedding these streams, we do not claim ownership or control over the Content. You are solely responsible for ensuring your activities and the embedded streams themselves comply with all legal requirements and third-party terms.

Content Standards

All embedded or displayed streams (collectively, “Content”) must comply with the following standards, as well as any applicable laws or regulations. Specifically, the Content must not contain: (this is not an exhaustive list)

Pornographic or sexually explicit material;
•
Malware, phishing or harmful software;
•
Child sexual abuse material (CSAM);
•
Hate speech & harassment;
•
Terrorism or violent extremism;
•
Fraudulent or misleading content;
•
Unauthorized streaming content;
•
Regulated goods & services.

These standards apply to all coins created on the Service, including a coin’s name, ticker/symbol, description, and image. We use automated screening (including AI and image analysis) to review coin names and tickers before launch, and we may reject, block, or remove any coin whose name or ticker contains slurs, hate speech, or other material that violates these standards.

Moderation and Enforcement

In our sole discretion and without prior notice, we may:

Remove or disable any Content found to be in violation of these Standards, applicable law, or third-party terms.
•
Restrict, suspend, or terminate your access to the Service if you repeatedly or egregiously violate these Standards.
•
Cooperate with law enforcement or third-party platforms to investigate possible unlawful or unauthorized activities.

We have no obligation to monitor the Content. However, we may, at our discretion, review and remove any Content that may pose risks to users, breach the third-party platform’s Terms of Service, or breach our Content Standards or violate others’ rights.

Users who believe their Content was removed in error can submit a content removal appeal by filling the appropriate form, and we will promptly review it. Additionally, users can report violations, and we will thoroughly investigate and take appropriate action.

WE DO NOT ENDORSE OR ASSUME LIABILITY FOR THE CONTENT OF ANY EMBEDDED STREAMS. ALL STREAMS REMAIN THE PROPERTY OF THEIR RESPECTIVE OWNERS, AND YOUR INCLUSION OF SUCH CONTENT ON OUR SERVICE DOES NOT IMPLY OUR APPROVAL OR ENDORSEMENT. YOU AGREE TO RELEASE AND HOLD US HARMLESS FROM ANY CLAIMS ARISING OUT OF OR RELATED TO ANY EMBEDDED STREAMS, INCLUDING DISPUTES OVER INTELLECTUAL PROPERTY RIGHTS OR COMPLIANCE WITH THIRD-PARTY TERMS.

YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS PARENT, SUBSIDIARIES, AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, AND SUCCESSORS FROM ANY AND ALL CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY AND ANY OF THE FOREGOING PARTIES RELATING TO ANY INVESTIGATIONS BY EITHER THE COMPANY OR BY LAW ENFORCEMENT AUTHORITIES.

7. External Links Policy

Our Service allows you to link to your Content on other social media platforms. Links that direct users to Content violating our Content Standards are prohibited. If you find links that violate policy, please report them. Do not post links in embedded streams, descriptions, comments, profiles, or metadata if they lead to sites that violate our Content Standards.

We actively monitor external links and may remove links that violate this policy, along with Content removal if the link is embedded in videos, descriptions, comments, or metadata. Violations may result in suspension or termination of accounts. For severe violations, including links associated with criminal activity, we may report incidents to law enforcement.

Users who believe their link was removed in error can submit an appeal, and we will promptly review it. Additionally, users can report violations, and we will thoroughly investigate and take appropriate action. By using our Service, you agree to comply with this policy, which we reserve the right to update and enforce at our sole discretion.

9. Payment and Fees

You may be required to pay a fee to access our Service. We accept digital assets on the Solana blockchain for purchases. However, the Company does not guarantee the availability of this payment method and may add, remove, or suspend any payment method at its sole discretion. We may change prices at any time. All payments shall be in USDC, SOL, or STREAMER.

You agree to pay all charges or fees at the prices in effect for your purchases and authorize us to deduct the corresponding amount from your chosen wallet at the time of the transaction.

Due to the nature of cryptocurrency transactions, payments are final and non-refundable. Once confirmed on the blockchain, they cannot be reversed. The Company is not responsible for errors in payment details you provide, including incorrect wallet addresses or amounts.

10. Disclaimers

Non-Custodial

Our Service is non-custodial, meaning you retain sole ownership and control over the wallet associated with the smart contract holding your funds. Consequently, you are responsible for the management, security, and custody of your wallet and any digital assets contained therein.

Non-Solicitation

You acknowledge and agree that transactions executed through your wallet are initiated solely at your discretion and are neither solicited, facilitated, nor controlled by us. Consequently, you confirm that you have not received any solicitation from us in relation to these transactions.

No Recommendation

You acknowledge that any information obtained from us is general and intended solely for educational purposes and should not be construed as legal, financial, or tax advice. You should not take, or refrain from taking, any action based on information provided by us without consulting an appropriate advisor. You are solely responsible for managing your transactions.

No Fiduciary Duties

These Terms of Use neither establish nor imply any fiduciary duties upon us. To the fullest extent permitted by applicable Canadian law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party. Any such duties or liabilities that may exist, whether arising at law or in equity, are hereby irrevocably disclaimed, waived, and nullified.

No Warranty

You understand and agree that your use of the Service, its Content, and any goods, digital products, services, information or items found or attained through the Service is at your own risk. The Service, its Content, and any goods, services, digital products, information or items found or attained through the Service are provided on an 'as is' and 'as available' basis, without any warranties or conditions of any kind, either express or implied including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non- infringement. The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

You acknowledge and agree that company or its respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, or successors make no warranty, representation, or endorsement with respect to the completeness, security, reliability, suitability, accuracy, currency, or availability of the Service, its Content, and any goods, digital products, services, information or items found or attained through the Service will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that our Service or the server that makes it available or Content are free of viruses or other harmful components or destructive code.

No Liability

Except where such exclusions are prohibited by law, in no event shall the Company nor its respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, or successors be liable under these Terms of Service to you or any third- party for any consequential, indirect, incidental, exemplary, special, or punitive damages whatsoever, including any damages for business interruption, loss of use, data, revenue or profit, cost of capital, loss of business opportunity, loss of goodwill, whether arising out of breach of contract, tort, any other theory of liability, or otherwise, regardless of whether such damages were foreseeable and whether or not the Company was advised of the possibility of such damages.

Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Company, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including attorneys' fees) arising out of or relating to your breach of these Terms of Service or your use of the Service including, but not limited to, third-party sites and Content, any use of the Service's Content and services other than as expressly authorized in these Terms of Service or any use of any goods, digital products and information purchased from this Service.

11. Privacy Policy

Your provision of personal information through the Service is governed by our privacy policy located at https://www.solana.stream/privacy (the "Privacy Policy").

12. Governing Law

The Service and these Terms of Service will be governed by and construed in accordance with the laws of the Province of Quebec and any applicable federal laws applicable therein, without giving effect to any choice or conflict of law provision, principle, or rule and notwithstanding your domicile, residence, or physical location. Any action or proceeding arising out of or relating to this Service and/or under these Terms of Service will be instituted in the courts of the Province of Quebec, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.

13. Severability

If any provision of these Terms of Service is unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions of these Terms of Service will continue in full force and effect.

14. Entire Terms of Service

These Terms of Service constitute the entire and only Terms of Service between the parties in relation to its subject matter and replace and extinguish all prior or simultaneous Terms of Service, undertakings, arrangements, understandings, or statements made by the parties or any of them whether oral or written with respect to such subject matter. Each of the parties acknowledges that they are not relying on any statements, warranties, or representations given or made by any of them in relation to the subject matter of these Terms of Service, save those expressly set out in these Terms of Service, and that they shall have no rights or remedies with respect to such subject matter otherwise than under these Terms of Service save to the extent that they arise out of the fraud or fraudulent misrepresentation of another party. No variation of these Terms of Service shall be effective unless it is in writing and signed by or on behalf of the Company.

15. Updates to Terms of Service

We may revise and update these Terms of Service from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. Continuing to use the Service following the posting of revised Terms of Service means that you accept and agree to the changes. You are expected to check this page each time you access this Service so you are aware of any changes, as they are binding on you.

16. Waiver

No failure to exercise, and no delay in exercising, on the part of either party, any right or any power hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right or power hereunder preclude further exercise of that or any other right hereunder.

17. Notice

We may provide notice to you under these Terms of Service by sending a message to the email address you provide to us and consent to us using. To give us notice under these Terms of Service, you must send a message to support@solana.stream. Notices sent by email are effective when sent, and it is your responsibility to keep your email address current.
